1 Definitions

  • "Company" means Bulisolio LLC, a Utah limited liability company registered in Salt Lake City, Utah.
  • "Affiliate" or "You" means any individual or entity enrolled in the Bulisolio Affiliate Program under these rules.
  • "Referred Subscriber" means a new user who signs up for a paid Bulisolio subscription (Pro or Premium tier) through your unique affiliate link.
  • "Active Subscriber" means a Referred Subscriber with a currently active, non-canceled, paid subscription.
  • "Commission" means the recurring percentage of subscription revenue you earn from Active Subscribers you have referred.
  • "Holdover Period" means the 60-day period from a subscriber's signup date before commissions become payable to the affiliate.
  • "End-of-Period Cancellation" means when a subscriber cancels their subscription, billing ceases at the end of the current billing cycle. Commission continues through the end of that final paid period.
  • "Premium Affiliate Boost" means the 10% increase to commission rates available exclusively to affiliates who maintain an active Premium-tier Bulisolio subscription.
  • "Secure Vault Wallet" means the Base network wallet created after KYC verification, used for receiving affiliate commission payouts in USDC.
  • "Affiliate Key" means your unique 4-word crypto-themed identifier (e.g., BIT-STAKE-NEXUS-NODE) generated when you enroll in the Affiliate Program. This key is permanent and used to construct your affiliate links.
  • "Discount Code" means a temporary, single-use promotional code (format: BUL-XXXX-XXXX-XXXX) generated when a potential subscriber visits your affiliate landing page. Discount codes are valid for 90 days and must be entered during subscription signup to activate affiliate attribution and subscriber discount.
  • "LALoC" (Legend Affiliate Line of Credit) means the revolving credit facility exclusively available to Legend-tier affiliates who maintain an active Premium subscription and meet all additional eligibility requirements. LALoC allows qualifying affiliates to draw up to $50,000 USD (in USDC) against the Bulisolio Delegation Reserve, subject to Loan Underwriting Engine approval, mandatory minimum payments, and a class-specific Concierge commission on each draw. Each draw is governed by a separate escrow smart contract on the Base network. LALoC is a Class 4 Delegated Loan product.
  • "Delegation Reserve" means the Bulisolio LLC treasury pool on the Base network that funds Class 2, 3, and 4 delegated loan draws. When the Delegation Reserve balance falls below its minimum operating threshold, all LALoC draws and delegated loans are suspended system-wide until the Reserve is replenished.
  • "Spectral Finance Score" means the on-chain credit score provided by Spectral Finance, assessed from your wallet's on-chain transaction history. LALoC requires a minimum Spectral score of ≥ 650.
  • "EAS Coinbase Verified" means an identity attestation issued via the Ethereum Attestation Service (EAS) through the Coinbase Verified ID product, confirming your real-world identity is associated with your on-chain wallet address. Required for LALoC enrollment.
  • "HODL Index" means the trust score component that measures how long you hold your crypto assets with minimal churn. A higher HODL Index contributes to a higher overall Trust Score, which in turn influences your LALoC credit limit and Concierge commission rate.
  • "Affiliate Landing Page" means the dedicated web page at www.bulisolio.com/affiliate/[your-affiliate-key] that displays your personalized discount code and app download links for visitors' operating systems.

2 Enrollment Eligibility & Requirements

Who Can Join

To participate in the Bulisolio Affiliate Program, you must:

  • Be at least 18 years of age (or age of majority in your jurisdiction)
  • Have an active Bulisolio account (Free, Pro, or Premium tier)
  • Complete KYC verification (required for all affiliates to enable secure vault wallet creation)
  • Provide accurate tax information (W-9 for US persons, W-8BEN for non-US persons)
  • Maintain a valid email address and contact information
  • Agree to these Official Affiliate Program Rules

KYC & Secure Vault Wallet

All affiliates must complete Know Your Customer (KYC) verification through our identity verification partner. This process collects:

  • Government-issued photo ID (passport, driver's license, or national ID)
  • Proof of address (utility bill, bank statement, or lease agreement)
  • Country of citizenship (primary and secondary if dual citizen)
  • Selfie photo for liveness verification

Upon successful KYC verification, Bulisolio creates a secure vault wallet on the Base network using threshold cryptography (MPC - Multi-Party Computation). This wallet is used exclusively for receiving affiliate commission payouts in USDC. You maintain control through a 2-out-of-3 recovery shard model tied to your device, identity, and 12-word recovery phrase.

Additional Requirements for LALoC Eligibility

The Legend Affiliate Line of Credit (LALoC) is an additional product available only to affiliates who meet all of the following criteria beyond standard enrollment:

  • Legend Tier Status: Maintain 500 or more Active Subscribers
  • Active Premium Subscription: Must hold an active Bulisolio Premium-tier subscription at the time of each draw request
  • KYC Verified: Standard affiliate KYC must be complete (already required for all affiliates)
  • EAS Coinbase Verified: Must complete Coinbase Verified ID attestation on the Ethereum Attestation Service (EAS). This links your real-world identity to your on-chain wallet address. Guided through Concierge Voice in-app.
  • Spectral Finance Score ≥ 650: Your wallet's on-chain credit score as assessed by Spectral Finance must meet or exceed 650 at the time of each draw request. Score is re-checked at every draw.
  • HODL Index Threshold: Your Trust Score's HODL Index component must meet the minimum threshold set by the Loan Underwriting Engine at time of draw. The HODL Index favors long-term holders with minimal crypto churn.
  • Delegation Reserve Availability: LALoC draws are funded from the Bulisolio Delegation Reserve. If the Reserve is below its operating minimum, draws are suspended system-wide.

Note: Qualifying for LALoC does not guarantee approval of any specific draw amount. Each draw request is individually underwritten by the Loan Underwriting Engine (LUE). LALoC eligibility and credit limits are subject to change based on market conditions, Delegation Reserve health, and Bulisolio's lending policies.

Enrollment Process

  1. Navigate to Settings → Affiliate Program → Enroll in the Bulisolio app
  2. Review and accept these Official Affiliate Program Rules
  3. Complete KYC verification
  4. Provide tax information (W-9 or W-8BEN)
  5. Receive your unique affiliate link and tracking dashboard access

Enrollment typically takes 24-48 hours for KYC verification. You will receive an email and in-app notification once approved.

Important: Providing false or misleading information during KYC or tax reporting will result in immediate termination and forfeiture of all pending commissions.

3 Commission Structure

Tiered Commission Rates

Your commission rate is determined by the number of Active Subscribers you maintain and whether you hold an active Premium Bulisolio subscription (Premium Affiliate Boost).

Tier Active Subscribers Non-Premium Rate Premium Rate Achievement Bonus
1. Starter 0 - 29 15% 25% -
2. Growth 30 - 99 20% 30% $50 at 30th user
3. Elite 100 - 499 25% 35% $200 at 100th user
4. Legend 500+ 30% 40% $1,000 at 500th user

Premium Affiliate Boost (+10%)

Affiliates with an active Premium-tier subscription receive an automatic 10% boost to their commission rates. For example:

  • Starter tier: 15% becomes 25% (15% + 10%)
  • Growth tier: 20% becomes 30% (20% + 10%)
  • Elite tier: 25% becomes 35% (25% + 10%)
  • Legend tier: 30% becomes 40% (30% + 10%)

The boost is applied automatically when you upgrade to Premium and is removed if you downgrade or cancel your Premium subscription.

Achievement Bonuses

One-time bonuses are paid immediately to your secure vault wallet when you reach tier milestones:

  • $50 bonus upon reaching 30 active subscribers (Growth tier)
  • $200 bonus upon reaching 100 active subscribers (Elite tier)
  • $1,000 bonus upon reaching 500 active subscribers (Legend tier)

Instant Bonus Delivery: As soon as our system detects you've hit a milestone (e.g., your 100th active subscriber), you'll receive an in-app notification: "🎉 Congratulations! You just hit 100 active subscribers! Your $200 bonus has been sent to your secure vault wallet."

Bonuses are paid in USDC to your Base network secure vault wallet immediately-no holdover period, no delays. This is a one-time incentive bonus to celebrate your achievement.

If your active subscriber count later drops below the tier threshold, the bonus is not reversed. Once earned, it's yours to keep.

Why immediate payout? Achievement bonuses are designed to reward your hard work and motivate continued growth. Unlike recurring commissions (which have a 60-day fraud protection holdover), these are one-time incentive bonuses with no chargeback risk. We want to celebrate your success the moment it happens!

Commission Calculation Example

Suppose you are a Premium affiliate in the Growth tier (30-99 active subscribers) with 45 active referred subscribers:

Monthly Subscribers (35 users on Pro monthly at $6.99):

  • Commission rate: 30% (Growth tier + Premium boost)
  • Monthly recurring commission: $6.99 × 30% × 35 users = $73.40/month
  • Paid every month on the 15th (after initial 60-day holdover)

Annual Subscribers (10 users on Premium annual at $143.99):

  • Commission rate: 30% (Growth tier + Premium boost)
  • Commission per subscriber: $143.99 × 30% = $43.20
  • Payment timing: Full $43.20 paid once after the 60-day holdover from signup, then again at annual renewal (12 months later + another 60-day holdover)
  • NOT monthly: Annual subscriptions pay the full commission amount once per year, not divided into monthly installments
  • Total for 10 annual subscribers: $43.20 × 10 = $432.00 paid over the year (as each subscriber's holdover clears)

Important: No commission is ever paid in the same month as the subscriber's payment to Bulisolio. This protects against chargebacks, refunds, and fraud. The 60-day holdover ensures the Company has time to detect and reverse fraudulent signups before paying commission — a practice used by Rakuten (Net-60), Walmart (60-day lock), Amazon (effective Net-60), and ClickBank (84-day hold), and driven by the 120-day chargeback windows mandated by Visa, Mastercard, Amex, and Discover. See Section 5 for full details and industry references.

Example Timeline for Annual Subscriber:

  • Jan 1, 2026: User signs up for Premium annual ($143.99 paid to Bulisolio)
  • Mar 2, 2026: 60-day holdover expires → You receive $43.20 commission (30% of $143.99)
  • Jan 1, 2027: User's annual renewal ($143.99 paid to Bulisolio)
  • Mar 2, 2027: 60-day holdover expires → You receive another $43.20 commission

Monthly subscriptions work the same way: commission is paid after the subscriber's billing date (plus holdover), never in the same month as their payment. This mirrors how major affiliate networks like Rakuten, Impact, and ShareASale structure their payout cycles. See Section 5 for the full industry-precedent breakdown.

Recurring Revenue Model: Unlike one-time referral programs, Bulisolio affiliates earn recurring commissions for the entire lifetime of each referred subscriber:

  • Monthly subscribers: Earn commission every month as long as they remain active
  • Annual subscribers: Earn full commission once per year at signup and renewal (not divided into monthly payments)
  • Lifetime value: A subscriber who stays for 3 years generates 36 monthly commissions (monthly plan) or 3 annual commissions (annual plan)

★ Legend Tier Exclusive: LALoC — Line of Credit

Legend-tier affiliates (500+ active subscribers) who also hold an active Premium subscription may qualify for the Legend Affiliate Line of Credit (LALoC) — a revolving USDC credit facility up to $50,000 funded by the Bulisolio Delegation Reserve on Base. See Section 3A for full details, eligibility requirements, and draw mechanics.

3A Legend Affiliate Line of Credit (LALoC) LEGEND EXCLUSIVE

The Legend Affiliate Line of Credit (LALoC) is a revolving USDC credit facility exclusively for Legend-tier affiliates who also maintain an active Premium subscription. It is classified as a Class 4 Delegated Loan product under the Bulisolio Loan Underwriting Engine (LUE). Bulisolio's Delegation Reserve funds each draw on your behalf into an escrow smart contract on the Base network.

LALoC at a Glance:

  • Who qualifies: Legend-tier affiliates (500+ active subscribers) with an active Premium subscription, passing all underwriting eligibility gates
  • Revolving limit: Up to $50,000 USDC (aggregate outstanding across all open draws)
  • Loan class: Class 4 — Full Delegation (Bulisolio provides all capital from its Delegation Reserve)
  • Concierge commission: 3.0% floor per draw (dynamic — see below)
  • Payment structure: Mandatory minimum monthly payments per open draw
  • Proceeds delivered to: Your Bulisolio secure vault wallet (Base network, USDC)
  • Collateral: Class 4 draws use your crypto assets in your secure vault wallet as collateral per underwriting rules

How LALoC Works

LALoC operates as a revolving line of credit, not a single lump-sum loan. You draw funds as needed (subject to underwriting approval per draw) up to your approved revolving limit, repay draws (with mandatory monthly minimums), and can draw again as the balance decreases. Each draw is a separate Class 4 escrow contract on Base.

  1. Request a Draw: In the Bulisolio app, navigate to Premium → Secure Vault → LALoC → Request Draw. Concierge Voice can guide you through the entire process by saying "Hey Bulis, I'd like to draw on my line of credit."
  2. LUE Underwriting: Each draw is individually underwritten. The private API's Loan Underwriting Engine checks your current Trust Score, HODL Index, Spectral Finance score (≥ 650), EAS Coinbase attestation, Delegation Reserve balance, and LTV headroom.
  3. Draw Approval: If approved, Bulisolio deploys a new escrow smart contract on Base and transfers the USDC draw amount from the Delegation Reserve to the escrow.
  4. USDC to Secure Vault: The draw proceeds (after Concierge commission is deducted at the smart contract level) are deposited into your secure vault wallet. From there you can spend via non-custodial Visa card or use for other permitted purposes.
  5. Mandatory Monthly Payments: For each open draw, you must make at least the monthly minimum payment (monthly interest + underwriting -calculated principal component). Concierge Voice will proactively remind you. You can make payments from any USDC in your secure vault wallet with a single voice command: "Hey Bulis, pay my LALoC."
  6. Revolving Balance: As you repay principal, your available draw capacity increases (up to your approved revolving limit), allowing future draws without a new credit application — subject to underwriting re-evaluation at the time of each draw.

Concierge Commission on LALoC Draws

The Concierge commission on each LALoC draw is dynamic and follows the Class 4 formula:

Class 4 Commission Formula (applied at draw time):

  • Base rate: 3.0% floor (minimum commission per draw)
  • + Fear & Greed Premium: Additional basis points when the Crypto Fear & Greed Index indicates extreme market conditions — compensates Bulisolio for increased delegation risk during volatile markets
  • + Volatility Premium: Additional basis points based on 30-day realized volatility of your collateral assets — higher volatility = higher premium

Examples are illustrative only. Actual commission rates are calculated at draw time and disclosed in your draw confirmation before you accept. All rates are subject to change per Bulisolio's lending policy.

The full Concierge commission rate for your specific draw is shown on the draw confirmation screen before you accept. You must explicitly confirm the terms (including the commission rate) to proceed. This is in accordance with Bulisolio's Truth in Lending disclosures.

Mandatory Minimum Payments

All LALoC draws require mandatory minimum monthly payments. Missing a payment has serious consequences:

  • Minimum payment = Monthly interest accrued on the draw + underwriting -amortized principal component (typically amortized over 12 months, though underwriting may adjust this based on Trust Score and draw size)
  • Due date: The same day of the month as your draw date (e.g., drew on the 10th → payment due on the 10th each month)
  • Cure window: 5 calendar days after the due date to make the payment without penalty
  • Missed payment consequences:
    • Immediate delinquency flag on your account
    • −200 points deducted from your Trust Score
    • No new LALoC draws permitted while delinquent
    • Concierge Voice escalates monitoring frequency
    • If the draw reaches 90-day delinquency, the escrow contract may initiate unilateral close, liquidating collateral to satisfy the outstanding balance

Important — Missed Payments Affect Your Affiliate Standing: Because LALoC is a financial product, missed or delinquent draw payments are factored into your Trust Score and HODL Index. A significant Trust Score decline may affect your LALoC credit limit, future draw approvals, and — if your Trust Score falls below the underwriting minimum threshold — your ability to hold the Legend affiliate tier's lending benefits.

Legend Affiliate LTV Benefit

Legend-tier affiliates automatically qualify for top-tier LTV terms (minus a 5% safety buffer off the smart contract pool's maximum LTV limit). This benefit is granted by underwriting's Trust Score module recognizing Legend status as a strong positive trust signal. The 5% safety buffer is retained by Bulisolio as a guard against rapid market moves that could trigger liquidation.

This means you can collateralize more of your crypto value relative to the USDC you draw, giving you more spending power per dollar of collateral — a material financial benefit exclusive to Legend-tier members.

Delegation Reserve Dependency

All LALoC draws are funded from Bulisolio's Delegation Reserve. If the Reserve falls below its minimum operating threshold:

  • All new LALoC draw requests are suspended system-wide (not just for you)
  • Existing open draws and their payment obligations are not affected — you still must make payments on any outstanding draws
  • The app and Concierge Voice will notify you when the Reserve is restored and LALoC draws are available again

The Delegation Reserve balance and current LALoC availability status is visible in real-time within the app under Premium → Secure Vault → LALoC → Reserve Status.

LALoC and Your Affiliate Commission

The LALoC credit facility is a lending product, not an affiliate commission. Draws do not count as affiliate commission income. They are separate financial transactions between you and Bulisolio LLC. Your affiliate commissions continue to accumulate and pay out per the normal schedule defined in Section 5, regardless of any LALoC activity.

However, using commission USDC received in your secure vault wallet to make LALoC payments is fully supported and encouraged by Concierge Voice.

LALoC Deactivation Conditions

Your access to LALoC draws will be suspended if any of the following occur:

  • Your active subscriber count drops below 500 (drops out of Legend tier)
  • Your Premium subscription lapses or is canceled
  • Your Spectral Finance score drops below 650 (re-checked at each draw)
  • Your Trust Score falls below the underwriting minimum threshold for Class 4 loans
  • Any open draw becomes delinquent (suspended until delinquency is cured)
  • Your affiliate account is terminated for any reason
  • The Delegation Reserve is below its operating minimum

Suspension of new draws does not cancel existing open escrow contracts. All outstanding draws remain due and payable per their original terms.

Summary: Why LALoC Is a Legend-Only Benefit

Building a 500-subscriber affiliate network demonstrates exceptional trust, community leadership, and platform commitment. Bulisolio rewards this level of dedication with access to the most powerful lending benefit on the platform — a revolving USDC credit line, funded entirely by Bulisolio's treasury, with top-tier LTV treatment and the convenience of voice-activated draws and payments through Concierge Voice.

4 Attribution Rules & Discount Code System

Your Unique Affiliate Key

When you enroll in the Bulisolio Affiliate Program, the system generates a permanent, unique Affiliate Key for you using a 4-word combination of crypto-related terms.

Example Affiliate Keys:

  • BIT-STAKE-NEXUS-NODE
  • SOL-VAULT-PRIME-DAO
  • ETH-HODL-ALPHA-HUB
  • SATOSHI-YIELD-CORE-LINK

Format: ASSET-ACTION-MODIFIER-TIER (uppercase with hyphens)

Key Properties:

  • Permanent: Your Affiliate Key never changes unless you close and re-enroll
  • Unique: Generated from 1.47 million possible combinations (40 × 35 × 35 × 30 permutations)
  • Memorable: Crypto-themed words make it easy to remember and share
  • Case-Insensitive: Works in both uppercase and lowercase URLs

Where to Find Your Affiliate Key: In the Bulisolio app, navigate to Settings → Affiliate Program → Dashboard. Your Affiliate Key is displayed prominently at the top. Tap to copy it to your clipboard.

Affiliate Link Formats

Bulisolio supports two affiliate link formats:

Format 1: Clean URL (Recommended)

https://www.bulisolio.com/affiliate/bit-stake-nexus-node

Format 2: Query String (Alternative)

https://www.bulisolio.com?ref=BIT-STAKE-NEXUS-NODE

Both formats redirect to your Affiliate Landing Page, where discount codes are generated.

Copying Your Link: In the Bulisolio app's Affiliate Dashboard, tap the "Copy Affiliate Link" button to copy the clean URL format to your clipboard. You can then paste this link into social media posts, email newsletters, blog posts, Discord/Telegram messages, podcast show notes, or any other marketing channel.

Custom UTM Parameters: You may append UTM tracking parameters to track performance across different channels (e.g., ?utm_source=twitter&utm_campaign=jan2026). Important: Do not modify the /affiliate/[key] path or the ref= parameter. Changing these will break attribution.

Discount Code System: How Attribution Works

Bulisolio uses a discount code attribution model to precisely link subscriptions to affiliates across multiple devices and operating systems. Here's the complete flow:

Step 1: Visitor Clicks Your Affiliate Link

When someone clicks your affiliate link (e.g., www.bulisolio.com/affiliate/bit-stake-nexus-node), they are redirected to your personalized Affiliate Landing Page.

Step 2: Discount Code Generation

The landing page makes an API call to the Bulisolio backend, which:

  1. Verifies your Affiliate Key is valid and active
  2. Generates a unique, single-use discount code for this visit
  3. Associates the discount code with your Affiliate Key in the database
  4. Returns the discount code to the landing page

Step 3: Display & Clipboard Copy

The landing page displays the discount code prominently with visual flair (pulsing gold border, animated effects) and automatically copies it to the visitor's clipboard.

Step 4: Visitor Downloads App

The landing page shows OS-appropriate download links based on the visitor's device:

  • Windows: Microsoft Store link
  • macOS: App Store link
  • iOS: App Store link
  • Android: Google Play link
  • Linux / Other: No download link shown (not supported)

Step 5: Visitor Opens App & Subscribes

When the visitor opens the Bulisolio app and navigates to subscription signup:

  • If they're on the same device, the app attempts to read the discount code from the clipboard
  • The app validates the code format (checks for the BUL- prefix pattern)
  • If a valid code is detected, it's auto-filled into the discount code field
  • The visitor can review the discount details and tap "Subscribe" to complete signup

Step 6: Attribution Confirmation

When the subscriber enters the discount code and completes payment:

  • The backend validates the discount code
  • The discount code is marked as "used" (cannot be reused)
  • The subscriber is permanently attributed to the affiliate associated with that code
  • The subscriber receives the affiliate discount ($1/month for Pro, $3/month for Premium)
  • Commission tracking begins for the affiliate (subject to 60-day holdover)

Discount Code Format

All Bulisolio discount codes follow a specific format to enable validation:

Format: BUL-XXXX-XXXX-XXXX

Example Valid Codes:

  • BUL-9K2L-PM8Q-7N3R
  • BUL-4J6M-8XWZ-2YV5
  • BUL-H7TG-3C9F-6QBN

Format Breakdown:

  • Prefix: Always BUL- (identifies as Bulisolio discount code)
  • Segments: 3 groups of 4 alphanumeric characters (uppercase)
  • Separators: Hyphens between segments
  • Total Length: 17 characters including hyphens
  • Character Set: A-Z (excluding I, O to avoid confusion) and 2-9 (excluding 0, 1)
  • Uniqueness: Approximately 1.5 billion possible combinations

Discount Code Lifecycle

Generation:

  • Discount codes are generated dynamically when a visitor lands on your affiliate page
  • Each page visit generates a NEW, unique code
  • Codes are immediately saved to PostgreSQL database with status: pending

Expiration:

  • Discount codes are valid for 90 days from generation date
  • After 90 days, unused codes (status: pending) are automatically purged from the database
  • Purged codes may be regenerated for future visitors (codes are not permanently reserved)

Usage:

  • When a subscriber enters a discount code during signup, the code status changes to used
  • Used codes are never purged (retained for compliance and commission tracking)
  • Used codes cannot be reused by another subscriber
  • If a subscriber enters an expired code, they receive an error message and must visit the affiliate landing page again to generate a new code

Cross-Device Attribution

Challenge: Bulisolio is a multi-OS desktop and mobile app. Users may visit the affiliate landing page on one device (e.g., desktop browser) but download and subscribe on a different device (e.g., iPhone).

Solution: Discount Code as Attribution Token

Unlike web-based subscription flows (where cookies can track attribution), Bulisolio uses discount codes as the primary attribution mechanism. This works across devices because:

  1. Visitor copies code on Device A (e.g., desktop computer)
  2. Visitor manually enters code on Device B (e.g., iPhone app)
  3. Backend validates code and attributes subscription to affiliate

Same-Device Clipboard Integration: To improve user experience for same-device flows, the Delphi app includes clipboard detection. When the user opens the subscription screen, the app checks if the clipboard contains a valid discount code (matching the BUL-XXXX-XXXX-XXXX pattern) and auto-fills it. The clipboard is then immediately cleared for security.

Important: The app does NOT automatically apply the discount. The user must still tap "Apply Discount Code" to validate and activate it. This ensures users can review the discount terms before proceeding.

Attribution Window & Lock

A subscriber is attributed to you if they:

  1. Click your unique affiliate link
  2. Generate a discount code on your affiliate landing page
  3. Enter that discount code when subscribing (within 90 days of code generation)

Attribution Lock: Once a subscriber enters your discount code and completes payment, that attribution is permanent for the lifetime of that user's account. If the user cancels and later resubscribes, you continue to earn commission on the reactivated subscription.

First-Code Attribution

If a user generates discount codes from multiple affiliates before subscribing, the commission is attributed to the affiliate whose code they actually enter during signup.

Example: User visits Affiliate A's landing page on January 1 (generates code BUL-AAA1-BBB2-CCC3), then visits Affiliate B's landing page on January 15 (generates code BUL-DDD4-EEE5-FFF6), then signs up on January 20 and enters code BUL-DDD4-EEE5-FFF6. Affiliate B receives the commission.

5 Payout Schedule & Methods

Payout Frequency

Commissions are paid monthly on the 15th of each month for monthly subscribers. If the 15th falls on a weekend or US federal holiday, payouts are processed on the next business day.

Annual subscriptions follow a different schedule: commission is paid once after the 60-day holdover clears, then again at the annual renewal date (plus another 60-day holdover). Annual commissions are not divided into monthly payments.

60-Day Holdover Period

New subscribers are subject to a 60-day holdover period from their signup date. During this period, they generate commission credits for you, but those credits are not paid out. This protects both the Company and affiliates from fraudulent signups and immediate chargebacks.

Example (Monthly Subscriber): A user signs up for Pro monthly on January 1 ($6.99 billed monthly). They generate $6.99 × 30% = $2.10 in commission on January 1. You will not receive that $2.10 until the March 15 payout (after the 60-day holdover expires on March 2). Their February and March billings also generate commission, which you'll receive on April 15 and May 15 respectively (each after clearing their own 60-day windows).

Example (Annual Subscriber): A user signs up for Premium annual on January 1 ($143.99 billed once). They generate $143.99 × 30% = $43.20 in commission on January 1. You will receive the full $43.20 on the March 15 payout (after the 60-day holdover expires on March 2). Then, when they renew on January 1 of the following year, you'll receive another $43.20 on the March 15 payout (after another 60-day holdover).

If the subscriber cancels or initiates a chargeback during the holdover period, the associated commission credits are forfeited and never paid.

Why 60 Days? Industry Precedent & Fraud Protection

The 60-day holdover is not arbitrary. It reflects established practice across the affiliate marketing industry, driven by card-network chargeback windows, subscription churn patterns, and fraud detection requirements:

Industry Precedent — Who Else Uses 60-Day (or Longer) Hold Periods:

  • Rakuten Advertising — Net-60: commissions paid 60 days after end of the month in which the sale occurred.
  • Walmart Affiliate Program — 60-day locking period; sales lock two months after the end of the month tracked.
  • Amazon Associates — Effective Net-60: commissions calculated after items ship and paid approximately 60 days after month-end.
  • ClickBank — 12-week (84-day) hold with a 10% return-allowance reserve, released after the hold clears.
  • Bluehost — 45–90 day hold to cover their 30-day money-back guarantee plus a fraud buffer.
  • Coinbase Commerce — Net-45 on-chain settlement terms with clawback rights for disputes and violations.
  • ShareASale — Merchants may extend the default lock by 30, 60, or 90 days at their discretion.
  • Impact (used by HubSpot, Shopify, and others) — Transactions lock on the 27th of the following month, with payout ~20 days later, yielding an effective 50–60 day delay from transaction to payout.

Card-Network Chargeback Windows: Visa, Mastercard, American Express, and Discover all grant cardholders a 120-day dispute window (and up to 540 days for select Visa/Mastercard reason codes such as “merchandise not received” or “services not provided”). A 60-day holdover covers half the standard chargeback window — the period during which the overwhelming majority of fraudulent chargebacks surface. Holding commissions for the full 120 days would be more conservative, but would also discourage affiliate participation. Sixty days is the industry-recognized balance between fraud protection and affiliate-friendliness.

Subscription Churn Data: Industry benchmarks from Paddle and other SaaS analytics platforms show that approximately 10% of new SaaS subscribers churn in the first month, with churn stabilizing to ~4% per month by month three. Fraudulent affiliate cohorts exhibit near-total churn within the first week. The 60-day observation window provides sufficient time to distinguish legitimate subscribers from fraudulent sign-and-cancel patterns.

Affiliate Marketing Authority Guidance: Geno Prussakov, author of Affiliate Program Management: An Hour a Day and founder of AM Navigator, recommends calculating the lock period based on “all factors that could cause money return to the customer” while advising programs not to exceed a two-month threshold to avoid discouraging publishers. The 60-day holdover aligns with this expert guidance.

Anti-Fraud Protection: No Same-Month Payouts

Critical Policy: No commission is ever paid to affiliates in the same month that a subscriber makes a payment to Bulisolio. This protects against churn (refunds), chargebacks, and fraudulent signups.

The 60-day holdover ensures sufficient time to detect fraud patterns (including Sybil attacks, cookie stuffing, and self-referral schemes), process refund requests, and validate legitimate subscriptions before paying commission. As documented above, this practice is used by major affiliate networks (Rakuten, Impact, ShareASale, ClickBank), major retailers (Walmart, Amazon), and leading SaaS platforms (Bluehost, HubSpot via Impact) — and is backed by the 120-day chargeback windows mandated by all four major card networks.

Minimum Payout Threshold

The minimum payout threshold is $25 USD equivalent in USDC. If your cleared commissions (post-holdover) are below $25 on a given payout date, the balance rolls over to the next month until the threshold is reached.

Exception: Achievement bonuses are paid immediately regardless of the $25 threshold and do not count toward the minimum payout calculation for recurring commissions.

Payment Method: USDC to Secure Vault Wallet

All affiliate commissions are paid in USDC (USD Coin) on the Base network to your Bulisolio secure vault wallet. This wallet is created automatically during KYC verification.

Why USDC on Base?

  • Instant, low-cost transfers (Base network has minimal gas fees, typically $0.01-0.05)
  • Stable, 1:1 USD-backed cryptocurrency (no volatility)
  • Seamless integration with Bulisolio's crypto loan and spend features
  • Transparent on-chain payment records for tax reporting

From your secure vault wallet, you can:

  • Spend USDC via non-custodial Visa card
  • Transfer to any external wallet via WalletConnect
  • Use USDC as collateral for crypto loans (Premium users only)
  • Convert USDC to other cryptocurrencies via in-app swaps

Payout Notifications

You will receive an in-app notification and email when each payout is processed. The notification includes:

  • Total commission amount (USD value)
  • USDC amount transferred
  • Base network transaction hash for blockchain verification
  • Breakdown by subscriber type (monthly vs annual, anonymized for privacy)
  • Current tier status and progress toward next milestone

Failed Payouts

If a payout fails due to an error with your secure vault wallet (e.g., wallet recovery in progress, threshold signature failure), the Company will retry the payout on the next business day for up to 3 attempts. If all attempts fail, you must contact affiliates@bulisolio.com to resolve the issue. Undeliverable payouts are held for up to 90 days before being forfeited.

6 Cancellations, Downgrades & Chargebacks

End-of-Period Cancellation Policy

When a referred subscriber cancels their subscription, billing ceases at the end of the current billing cycle. You continue to earn commission through the end of that final paid period.

Example: User subscribes to Pro monthly on January 1 (billing on the 1st of each month). They cancel on January 20. Billing continues through January 31, and you earn commission for the full January billing cycle. No commission is earned for February onward.

Downgrades

If a subscriber downgrades from Premium to Pro, your commission adjusts to the new subscription price starting with the next billing cycle. If a subscriber downgrades from Pro/Premium to the Free tier, commission ceases at the end of the current billing cycle (same as cancellation).

Chargebacks & Refunds

If a subscriber initiates a chargeback or refund, the associated commission is immediately reversed from your account balance. If your balance goes negative due to chargebacks, the negative amount will be deducted from future earnings until the balance is settled.

Affiliates with excessive chargeback rates (>5% of total referred subscribers) may be subject to account review and potential termination.

Why chargebacks matter for affiliates: Under current card-network rules, cardholders may file disputes up to 120 days after a transaction (Visa, Mastercard, American Express, Discover), and up to 540 days for select Visa and Mastercard reason codes. The 60-day holdover covers the period in which the vast majority of fraudulent disputes surface, while keeping payout timelines reasonable for legitimate affiliates. Commissions still in holdover at the time of a chargeback are simply cancelled; commissions already paid out may be clawed back from your balance.

Reactivations

If a previously canceled subscriber reactivates their subscription, commission resumes immediately (subject to the standard 60-day holdover for the reactivation period). The reactivated subscriber remains attributed to the original affiliate.

7 Prohibited Activities

The following activities are strictly prohibited and will result in immediate termination and forfeiture of all commissions:

Fraud & Deceptive Practices

  • Creating fake accounts or using bots to generate artificial signups
  • Using stolen credit cards or payment information to sign up users
  • Misrepresenting Bulisolio's features, pricing, or policies
  • Impersonating Bulisolio employees or official communications
  • Claiming false affiliations (e.g., "Official Bulisolio Partner" without authorization)

Trademark & Brand Misuse

  • Purchasing paid ads on the keyword "Bulisolio" or variations (e.g., Google Ads, Facebook Ads)
  • Registering domains containing "Bulisolio" or confusingly similar variations
  • Creating social media accounts impersonating Bulisolio (e.g., @BulisolioOfficial without authorization)
  • Using Bulisolio trademarks in a way that suggests official endorsement

Spam & Unsolicited Marketing

  • Sending unsolicited emails, SMS, or direct messages promoting your affiliate link
  • Posting affiliate links in online communities where self-promotion is prohibited (e.g., Reddit, Discord servers with anti-spam rules)
  • Using affiliate links in automated bots or spam tools

Incentivized Signups

  • Offering cash, gift cards, or other incentives in exchange for signups (unless pre-approved in writing by the Company)
  • Paying users to sign up through your link

Cookie Stuffing & Forced Clicks

  • Using invisible iframes, pop-unders, or auto-redirects to force affiliate link clicks
  • Embedding affiliate links in malware or browser extensions without clear disclosure

8 Self-Referral Policy

Self-referral is strictly prohibited. You may not use your own affiliate link to sign up for a paid Bulisolio subscription or refer immediate family members living in the same household.

What counts as self-referral:

  • Clicking your own affiliate link and subscribing to Pro or Premium
  • Creating a secondary account and subscribing through your own link
  • Referring a spouse, partner, child, parent, or sibling living in the same household
  • Referring a business entity you own or control (e.g., your LLC, corporation)

Detection & Enforcement: The Company uses device fingerprinting, IP analysis, payment method matching, and KYC verification to detect self-referrals. Detected self-referrals result in:

  • Immediate forfeiture of all commissions (pending and paid)
  • Termination of affiliate account
  • Possible termination of all associated Bulisolio accounts

Legitimate Use: You may use Bulisolio's paid tiers (Pro or Premium) as an affiliate, but you must sign up through the normal flow without using your affiliate link. Your own subscription does not count toward your Active Subscriber count or generate commission.

9 Required Disclosures & Compliance

FTC Disclosure Requirements (United States)

If you are subject to United States Federal Trade Commission (FTC) jurisdiction, you must disclose your affiliate relationship whenever promoting Bulisolio. Acceptable disclosure formats include:

  • Social media posts: "#ad", "#affiliate", or "I earn commission from this link"
  • YouTube videos: Verbal disclosure in the video + written disclosure in the description
  • Blog posts/articles: Clear written disclosure at the top of the content (e.g., "This post contains affiliate links. I may earn a commission if you sign up.")
  • Email marketing: Disclosure in the email body before or immediately after the affiliate link

International Equivalents

Similar disclosure requirements exist in other jurisdictions:

  • UK: Advertising Standards Authority (ASA) requires "#ad" or "#affiliate" disclosure

  • Australia: Australian Competition and Consumer Commission (ACCC) requires disclosure of material relationships
  • Canada: Competition Bureau requires disclosure of material connections

It is your responsibility to comply with all applicable laws in your jurisdiction.

Disclosure Language Examples

Good Disclosures:

  • "I'm a Bulisolio affiliate and earn commission if you sign up using my link."
  • "Affiliate link - I may earn a small commission at no extra cost to you."
  • "Full disclosure: This is an affiliate link. I use Bulisolio myself and genuinely recommend it."

Insufficient Disclosures: Burying disclosure in a "Terms & Conditions" page, using vague language like "Partner link" without explaining commission, or placing disclosure at the very end of long-form content.

12 Termination

Termination by Affiliate

You may terminate your participation in the Affiliate Program at any time by contacting affiliates@bulisolio.com or through the app under Settings → Affiliate Program → Close Affiliate Account.

Upon voluntary termination:

  • Your affiliate link will be deactivated immediately
  • Pending commissions that have cleared the 60-day holdover will be paid on the next scheduled payout date
  • Commissions still within the holdover period are forfeited
  • Existing subscribers remain attributed to you, and you continue earning commission until they cancel (unless you re-enroll as a new affiliate, which resets attribution)

Termination by Company

The Company may terminate your participation immediately, with or without notice, for:

  • Any violation of these Affiliate Program Rules
  • Any conduct deemed harmful to Bulisolio's reputation, brand, or users
  • Suspected or confirmed fraud, self-referral, or prohibited activities
  • Discontinuation of the Affiliate Program as a whole

Termination for Cause: If terminated for violation of these rules, all pending and unpaid commissions (including those past the holdover period) are forfeited.

Termination Without Cause: If the Company terminates the Affiliate Program entirely or terminates your account without cause (e.g., program restructuring), commissions that have cleared the 60-day holdover will be paid on the next scheduled payout date. Commissions still in holdover are forfeited.

Effect on Subscribers

Upon termination (by either party), your referred subscribers remain Bulisolio customers but are no longer attributed to you for future commission purposes. If a terminated subscriber later reactivates or upgrades, you do not earn commission (unless you re-enroll as a new affiliate, which would only apply to new referrals).
